Terms of Service
Effective Date: October 25, 2025
1. Introduction
These Terms of Service ("Terms") govern all professional services provided by CirroCraft Solutions LLP ("CirroCraft," "we," "us," or "our") to its clients ("Client," "you," or "your"). By engaging CirroCraft for any project, consulting engagement, or service, you agree to these Terms and our accompanying policies, including our Privacy Policy.
2. Scope of Services
CirroCraft provides professional consulting, implementation, and integration services for Zoho products and other software solutions as described in the mutually agreed Statement of Work (SOW), proposal, or quotation.
2.1 Service Coverage
Services may include, but are not limited to:
- Zoho implementation and configuration
- Custom integrations and automation
- Business process consulting
- Data migration, reports, dashboards
- End-user and admin training
- Post-implementation support
All deliverables and milestones will align strictly with the SOW. Any additional work, change requests, or revisions will require prior written approval and may incur additional charges.
2.2 Delivery Timelines
Project timelines are estimates based on the agreed scope and depend on timely access to necessary client inputs, systems, and feedback. CirroCraft is not liable for delays caused by client-side dependencies or third-party service interruptions.
3. Payment Terms
- All invoices are due within 15 days from the invoice date (Net 15).
- Payments must be made via bank transfer, UPI, or Zoho Payments to the account details mentioned on the invoice.
- Late payments will attract an interest charge of 1.5% per month on the outstanding balance.
- Applicable GST is included in invoice totals and is non-negotiable under Indian law.
- CirroCraft reserves the right to pause or terminate services in case of non-payment or delayed payment beyond the due date.
- Intellectual property, configuration files, and deliverables remain the property of CirroCraft until full payment is received.
4. Refund and Cancellation Policy
- No refunds will be provided for completed deliverables including but not limited to implementations, consulting sessions, custom integrations, configurations, or training.
- Partial refunds for ongoing projects may be considered at CirroCraft's sole discretion, based on completed work and administrative overheads.
- Transaction or payment gateway fees are non-refundable.
- In cases where CirroCraft deems a credit appropriate, a credit note may be issued for future work instead of a refund.
- Clients must first attempt to resolve any service-related concerns by contacting support@cirrocraft.com.
5. Client Responsibilities
- The Client must provide all necessary access, data, credentials, and approvals required to deliver the services.
- The Client ensures all information shared with CirroCraft is accurate, lawful, and owned or licensed for use.
- Any delays or complications due to missing access or inaccurate data may adjust the project timeline and cost.
6. Intellectual Property
- CirroCraft retains ownership of all intellectual property, methodologies, templates, custom code, documentation, or tools developed during the engagement until all outstanding payments are cleared.
- Upon full payment, the Client receives a non-exclusive, non-transferable license to use the final deliverables for its internal business purposes.
- CirroCraft may reuse general know-how, frameworks, or components developed during the engagement for other projects, provided no client-sensitive data is included.
7. Confidentiality
Both parties agree to maintain strict confidentiality of all information exchanged during the engagement. Neither party shall disclose any proprietary data, client business information, or project documentation to third parties without prior written consent, except where required by law.
8. Limitation of Liability
To the maximum extent permitted by law, CirroCraft's liability shall be limited to the total fees paid by the Client for the specific service in dispute. CirroCraft will not be liable for indirect, incidental, consequential, or special damages including loss of business, revenue, or data.
9. Termination
CirroCraft may terminate the engagement immediately if:
- Payments are overdue by more than 30 days.
- The Client violates confidentiality or intellectual property clauses.
- There is evidence of misuse of deliverables or breach of contract.
The Client may request termination in writing. Any work completed up to the termination date will be invoiced and payable immediately.
10. Governing Law and Dispute Resolution
These Terms are governed by and construed in accordance with the laws of India. Any disputes will fall under the exclusive jurisdiction of the courts in Mumbai, Maharashtra. Both parties agree to attempt informal resolution before pursuing legal remedies.
11. Amendments
CirroCraft reserves the right to update these Terms periodically. Any revisions will take effect upon publication on our website. Continued use of CirroCraft's services following updates constitutes acceptance of the modified Terms.
By engaging CirroCraft Solutions LLP, you acknowledge that you have read, understood, and agreed to these Terms of Service.
